goMREZHA's Terms of Service

Welcome to goMREZHA! By using our website (www.gomrezha.com) and services, you agree to these Terms of Service ("TOS"). These Terms of Service apply to all projects, clients, and engagements with goMREZHA. Please read carefully.
1. Services Provided
goMREZHA provides professional web development, design, digital marketing, SEO, and related technology services. Specific deliverables, milestones, and pricing will be outlined in individual project proposals or signed client agreements.
2. Client Responsibilities
Clients must:
- Provide accurate, complete, and legally compliant content.
- Guarantee that content, images, logos, or text supplied does not infringe third-party rights.
- Respond promptly to goMREZHA's requests; delays may affect timelines.
- Ensure any content provided complies with applicable laws, regulations, and industry standards.
3. Payment Terms
- Payments must be made according to the schedule in the project agreement or invoice.
- Late payments may result in additional fees or suspension of services.
- All work remains property of goMREZHA until full payment is received.
- Deposits and fees are non-refundable unless explicitly agreed in writing.
- goMREZHA reserves the right to withhold project deliverables or suspend hosting and support services until all outstanding balances are paid in full.
4. Intellectual Property
- Upon full payment, clients are granted ownership rights to final deliverables.
- goMREZHA retains the right to showcase work in portfolios and marketing materials.
- Pre-existing templates, code libraries, or third-party tools remain goMREZHA property unless explicitly transferred.
- goMREZHA retains ownership of all design concepts, source code, and development assets not included in the final deliverables unless otherwise stated in writing.
5. Limitation of Liability
- goMREZHA is not liable for indirect, incidental, or consequential damages, including lost profits or business interruptions.
- Maximum liability is limited to the total amount paid by the client for the specific project.
- Clients agree to indemnify goMREZHA for claims arising from client-supplied content or instructions.
- goMREZHA is not responsible for data loss, third-party hosting outages, security breaches due to outdated client software, or actions performed by third-party vendors.
6. No Guarantee of Results
- Services are provided on a "best effort" basis.
- goMREZHA does not guarantee search engine ranking, revenue, or specific business outcomes.
7. Revisions and Changes
- Clients are entitled to a limited number of revisions as outlined in the project agreement.
- Additional changes outside the scope will incur extra charges.
8. Termination
- Either party may terminate the agreement in writing.
- goMREZHA may terminate immediately if the client breaches any material term of the agreement.
- Clients must pay for all work completed up to termination.
9. Confidentiality
Both parties agree to keep sensitive business and project information confidential.
10. Notarization Requirement
All client agreements must be signed and notarized to be valid and enforceable.
- Electronic notarization (e-notary) is acceptable where legally permitted.
- Notarization confirms authenticity and enforceability of the agreement.
11. Future LLC Assignment
Services, agreements, and obligations under these TOS may be assigned or transferred to a Limited Liability Company ("LLC") formed by goMREZHA in the future.
- Clients acknowledge that such assignment does not alter their rights or obligations.
- Once transferred, goMREZHA's LLC operates independently; clients have no personal claims against individual founders.
- Clients will be notified in writing when assignment to an LLC occurs, and all terms of service will remain valid and enforceable under the new entity.
12. Force Majeure
goMREZHA is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, internet outages, acts of government, or labor strikes.
13. Warranty Disclaimer
All services are provided "as-is" without warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
14. Digital Signature & E-Notarization
Electronic signatures and e-notarizations are legally binding and enforceable to the same extent as handwritten signatures.
15. Governing Law & Venue
- These TOS are governed by the laws of the State of New York.
- Clients consent to the exclusive jurisdiction of courts in New York County, New York.
16. Arbitration & Dispute Resolution
- All disputes related to services, content, or agreements must first undergo non-binding mediation.
- If unresolved, disputes go to binding arbitration under American Arbitration Association rules.
- Arbitration is the sole remedy; clients waive rights to class actions or jury trials.
17. Indemnification Clause
Clients agree to hold goMREZHA harmless against lawsuits, claims, or damages arising from client-supplied content, instructions, or misuse of deliverables.
18. Entire Agreement
These TOS, together with any signed client agreements, constitute the full agreement between the client and goMREZHA and supersede all prior understandings.
19. Changes to Terms
goMREZHA may update these TOS at any time. Updated versions will be posted on the website. Continued use of services constitutes acceptance of the updated TOS.
20. Refund & Cancellation Policy
Due to the customized nature of our services, all payments, deposits, and fees are non-refundable once work has commenced. In cases of cancellation, clients remain responsible for all work completed up to the date of cancellation.
21. Third-Party Integrations Disclaimer
goMREZHA may use third-party tools, plugins, APIs, or hosting services. While we take reasonable care in selecting these providers, goMREZHA is not responsible for any service interruptions, vulnerabilities, or failures caused by third parties.
22. Support & Maintenance
Ongoing maintenance, hosting, or technical support beyond the project completion date will require a separate support agreement or retainer plan.
